Acceptance of Terms

These Terms of Service ("Terms", "ToS") govern your access to and use of the MCPlan platform, website, and services (collectively, the "Service") operated by Mø's IT ("we", "our", or "us") at mcplan.ai.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

These Terms should be read in conjunction with our Privacy Policy, which explains how we collect, use, and protect your personal information.

We reserve the right to update these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

Eligibility & Age Requirements

Minimum Age

You must be at least 16 years old to use MCPlan if you reside in the European Economic Area (EEA). Germany has not lowered the age of consent under Art. 8 GDPR, which therefore remains 16 for information-society services.

Outside the EEA, you must be at least 13 years old, in compliance with the Children's Online Privacy Protection Act (COPPA) and similar international regulations.

Users under 18 (or under 16 in the EEA) who are above the applicable minimum age must have the express consent of a parent or legal guardian, who must also agree to these Terms on the minor's behalf.

Legal Capacity

By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

Geographic Restrictions

The Service is intended for users worldwide. We reserve the right to restrict access from certain jurisdictions if required by law or business considerations.

Account Registration & Security

Account Creation

When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password and OAuth sessions secure
• Accept responsibility for all activities under your account, including actions taken by authorized MCP clients
• Notify us immediately of any unauthorized use

One Account Per Person

You may only create one personal account. Creating multiple accounts to circumvent feature limits or subscription tiers is prohibited and may result in termination. Team plans allow multiple members within a shared workspace.

Account Security

You are responsible for maintaining the security of your account. We use industry-standard security measures but cannot guarantee absolute security. You agree to use a strong, unique password, never share your credentials, and report any security breaches immediately to contact@mcplan.ai.

Account Transfer

You may not transfer, sell, or otherwise dispose of your account to any other person or entity. Any attempt to do so will result in immediate termination.

Description of Services

MCPlan is a task management platform with MCP (Model Context Protocol) superpowers. We provide:

• Projects & Tasks: create projects, sections, tasks, subtasks, labels, deadlines, reminders, comments, and attachments
• Layouts: list view of your work (board and calendar coming later)
• Real-time Sync: changes propagate live across all your devices
• MCP API: a Model Context Protocol server that lets compliant AI clients manage your projects, sections, tasks, and labels on your behalf. See /docs/mcp for the full tool reference.
• Team Workspaces: on Team plans, share a workspace with members and guests with role-based permissions. Team-collaboration features are rolling out progressively; some capabilities listed on the pricing page may be labelled "coming soon" until generally available.

Current feature limits by plan are published at mcplan.ai/pricing. We may adjust feature limits over time.

Subscription Tiers & Billing

Free Tier

The Free tier provides basic access with usage limits published on the pricing page. No payment information is required.

Paid Subscriptions

Pro and Team subscriptions are billed on a recurring monthly or annual basis. By subscribing, you agree to the following:

• Payment Processing: all payments are processed securely through Stripe. We do not store your full payment card details.
• Auto-Renewal: subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Price Changes: we may change subscription prices with at least 30 days advance notice via email. You can cancel before the new price takes effect.
• Taxes: prices are shown exclusive of applicable taxes (VAT, sales tax, etc.). Taxes are automatically calculated by Stripe based on your location.

Cancellation Policy

You may cancel at any time through your account settings, the Stripe Customer Portal link we provide, or by emailing contact@mcplan.ai. Upon cancellation:

• You retain access to paid features until the end of the current billing period
• Your account automatically downgrades to the Free tier at the end of the period
• No further charges will be made after the current period
• Your data (projects, tasks) is preserved but subject to Free tier limits

Refund Policy

EU Consumer Right of Withdrawal: if you are located in the European Union, you have a statutory 14-day right to withdraw from your subscription. The full withdrawal instructions and model withdrawal form are available on our dedicated Right of Withdrawal page. For digital services, the right of withdrawal may lapse if you expressly requested immediate performance and acknowledged the corresponding loss of the withdrawal right at checkout.

Outside of the EU 14-day period, refunds are handled on a case-by-case basis. We may offer pro-rated refunds at our discretion for extended service outages, billing errors, or other exceptional circumstances. To request a refund, contact contact@mcplan.ai.

Failed Payments

If a payment fails, we will retry the charge and notify you via email. If payment is not received within 7 days, your account will be downgraded to the Free tier and you may lose access to paid features.

User-Generated Content

Your Content Ownership

You retain all ownership rights to content you create on MCPlan, including projects, tasks, labels, comments, and attachments.

License Grant to MCPlan

By posting content on the Service, you grant MCPlan a non-exclusive, worldwide, royalty-free license to store, display, back up, and transmit your content as necessary to operate the Service — including delivering it to MCP clients you have explicitly authorized.

This license terminates when you delete the content or your account, except for aggregated, anonymized analytics derived from your usage.

Your Responsibilities

You are solely responsible for the content you post. You represent and warrant that:

• You own or have the necessary rights to the content
• Your content does not violate any third-party rights (copyright, trademark, privacy, etc.)
• Your content does not contain malware, spam, or illegal material
• Your content complies with all applicable laws and regulations

MCP API Access

MCPlan exposes a Model Context Protocol server so that compatible AI clients (such as Claude Desktop, Cursor, or any other compliant client) can read and modify your project data on your behalf.

• Access is granted via API keys or OAuth; each key has a scope (currently account-wide or limited to a specific team) that defines what the client can see
• You are responsible for which clients you authorize — treat an authorized MCP client like any other app with access to your account
• You can revoke any key or client at any time from your account settings
• Data transmitted to an authorized client is governed by that client's own privacy and security practices
• We may enforce rate limits and feature quotas (see the pricing page for current limits)
• Use of the MCP API must comply with these Terms, including the Prohibited Conduct section

Intellectual Property Rights

MCPlan Platform

The MCPlan website, software, design, graphics, code, brand marks, and all other elements of the Service (excluding user content) are owned by Mø's IT and protected by copyright, trademark, and other intellectual property laws.

Limited License to Users

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes in accordance with these Terms. You may not:

• Copy, modify, or redistribute our software or content
• Reverse engineer, decompile, or disassemble the Service
• Remove copyright or trademark notices
• Use our trademarks or branding without permission
• Create derivative works based on the Service

DMCA Copyright Policy

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please contact contact@mcplan.ai with identification of the copyrighted work, location of the infringing material, your contact information, a good-faith statement, and a statement that you are authorized to act on behalf of the copyright owner.

Prohibited Conduct

You agree not to engage in any of the following:

• Fraud & Abuse: creating multiple accounts to circumvent limits, using stolen payment information, or engaging in chargeback abuse
• Automated Access: using bots, scrapers, or crawlers to access the Service outside of the documented MCP API
• Reverse Engineering: attempting to decompile or reverse engineer the Service
• Harmful Content: uploading viruses, malware, or any code designed to disrupt the Service
• Harassment: harassing, threatening, or abusing other users, including hate speech
• Spam: posting advertisements or promotional content without authorization
• Impersonation: impersonating another person or falsely claiming affiliation with MCPlan
• IP Violations: infringing on copyrights, trademarks, or other intellectual property rights
• Illegal Activities: using the Service for any unlawful purpose
• Account Sharing/Selling: sharing credentials or transferring your account
• System Interference: attempting to compromise the integrity or performance of the Service

Violation may result in immediate account suspension or termination, and we reserve the right to pursue legal action.

Third-Party Services

MCPlan integrates with several third-party services. Your use of these services is subject to their respective terms and policies:

• Firebase (Google Cloud Platform) for authentication, database, storage, and hosting — Firebase Terms of Service
• Stripe for payment processing — Stripe Services Agreement
• Resend for transactional email
• External MCP clients you authorize — subject to their own terms and privacy practices

Independence Notice

Model Context Protocol (MCP) is an open standard originally published by Anthropic. MCPlan is an independent product and is not affiliated with, endorsed by, or sponsored by Anthropic.

Third-Party Liability

We are not responsible for the availability, accuracy, or practices of third-party services. Any issues with third-party services should be directed to those providers.

Service Availability

While we strive to provide reliable, uninterrupted service, we do not guarantee that the Service will be available at all times or will be error-free. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to perform scheduled maintenance and updates, and to modify, suspend, or discontinue any part of the Service at any time. We are not liable for any modification, suspension, or discontinuance of the Service.

The Service depends on third-party services (Firebase, Stripe, Resend, etc.). If those services experience outages or changes, MCPlan functionality may be affected.

Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, MCPlan disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties regarding accuracy, completeness, or reliability of the Service; and warranties that the Service will be uninterrupted, secure, or error-free.

Nothing in these Terms limits your statutory rights as a consumer under applicable law, including EU consumer protection regulations and German consumer law (BGB).

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MCPLAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

Nothing in these Terms limits or excludes our liability:

• for injury to life, body, or health caused by our negligent or intentional breach of duty, or by the negligent or intentional breach of duty of our legal representatives or vicarious agents (gesetzliche Vertreter oder Erfüllungsgehilfen);
• for other damages caused by a grossly negligent or intentional breach of duty by us or by our legal representatives or vicarious agents;
• for breach of a material contractual obligation (wesentliche Vertragspflicht / Kardinalpflicht) — i.e. an obligation whose performance is essential to the proper execution of the contract and on which the other party regularly relies — limited, in cases of simple negligence, to the typical, foreseeable damage;
• under the German Product Liability Act (Produkthaftungsgesetz);
• for any express guarantee (Garantie) we have given;
• under any other mandatory statutory liability that cannot be excluded or limited by contract.

Indemnification

You agree to indemnify, defend, and hold harmless MCPlan, its owner, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use or misuse of the Service, your violation of these Terms, your violation of any rights of another person or entity, your user-generated content, or your violation of applicable laws or regulations. This obligation survives termination.

Dispute Resolution & Governing Law

These Terms and any disputes arising from or relating to the Service shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

Any legal action or proceeding shall be brought exclusively in the courts located in Germany. You consent to the personal jurisdiction of such courts and waive any objection to venue.

If you are a consumer located in the European Union, you retain the benefit of any mandatory provisions of the consumer protection law in your country of residence. EU consumers may use the European Commission's Online Dispute Resolution (ODR) platform: ec.europa.eu/consumers/odr. We are not willing or obligated to participate in dispute resolution proceedings before a consumer arbitration board.

Before filing a legal claim, we encourage you to contact us at contact@mcplan.ai to seek an informal resolution.

Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting contact@mcplan.ai. Upon termination, your subscription will be cancelled and your data will be deleted in accordance with our Privacy Policy.

Termination by MCPlan

We reserve the right to suspend or terminate your account and access to the Service, without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Failure to pay subscription fees
• Requests by law enforcement or government agencies
• Circumstances beyond our control (force majeure)

Effect of Termination

• Your right to access the Service immediately ceases
• We will delete or anonymize your personal data within 30 days, except as required by law
• No refunds will be provided for partial subscription periods, except as required by law

Survival

The following sections survive termination: User-Generated Content, Intellectual Property Rights, Disclaimers & Warranties, Limitation of Liability, Indemnification, Dispute Resolution & Governing Law, and General Provisions.

Changes to These Terms

We reserve the right to modify or update these Terms at any time to reflect changes in the Service, legal requirements, or business practices. When we make changes we will update the "Last updated" date, post the revised Terms on our website, and display a prominent notice for significant changes. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.

General Provisions

• Severability: if any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• No Waiver: our failure to enforce any right or provision does not constitute a waiver.
• Entire Agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and MCPlan regarding the Service.
• Assignment: you may not assign or transfer these Terms. We may assign these Terms without restriction.
• Force Majeure: we shall not be liable for failures due to circumstances beyond our reasonable control.
• Language: these Terms are written in English. Any translated versions are provided for convenience only.
• Headings: section headings are for convenience only and do not affect interpretation.
